Terms of Service

1. Agreement
These Terms of Service (the “Terms”) are a binding agreement between [Your Company Legal Name] (“Ballast,” “we,” “us”) and the entity or person (“Customer,” “you”) that accesses or uses the Ballast platform, SDKs, APIs, and related services (the “Service”). By creating an account, clicking “I agree,” or using the Service, you accept these Terms. If you use the Service for an organization, you represent that you have authority to bind it.
2. The Service
Ballast is a runtime for building, running, and governing AI agent workflows, including a visual builder, durable execution, human-in-the-loop approvals, evaluations, and usage reporting. We may update, improve, or modify the Service over time. Certain features depend on third-party providers you configure (see Section 9).
3. Accounts & eligibility
You must provide accurate registration information and keep it current. You are responsible for all activity under your account and workspace, for maintaining the security of credentials and API keys, and for your team members’ compliance with these Terms. You must be at least 18 and legally able to enter contracts.
4. Acceptable use
You agree not to, and not to permit others to:
- use the Service unlawfully or to build or operate agents that violate applicable law;
- infringe intellectual property, privacy, or publicity rights;
- attempt to breach security, probe, or disrupt the Service or its infrastructure;
- resell or provide the Service to third parties except as expressly permitted;
- exceed documented rate limits or circumvent usage metering; or
- use the Service to generate unlawful, harmful, deceptive, or abusive content.
We may suspend access for violations that pose security, legal, or availability risks.
5. Customer data & content
“Customer Data” means the workflows, inputs, outputs, and other content you submit to or generate with the Service. As between the parties, you own Customer Data. You grant us a limited license to host, process, and transmit Customer Data solely to provide and support the Service. You are responsible for having the rights to submit Customer Data and for its lawful use. Our handling of personal data is described in our Privacy Policy.
6. Fees, billing & taxes
Paid plans are billed in advance through our payment processor (Whop) at the rates on our pricing page, plus any usage-based charges. Fees are non-refundable except as required by law or expressly stated. You authorize recurring charges to your payment method. Fees exclude taxes, which you are responsible for. 7. Subscriptions, renewal & cancellation
Subscriptions renew automatically for the same term unless cancelled before the renewal date via the billing portal. Cancellation takes effect at the end of the current period; you retain access until then. Plan changes take effect as described in the Service.
8. Third-party services
The Service integrates providers you choose to configure — including large-language-model providers (e.g., Anthropic, OpenAI), payment (Whop), messaging (Twilio), and email. Your use of those providers is subject to their terms, and you are responsible for your accounts and keys with them. We are not liable for third-party services.
9. Intellectual property
We and our licensors own the Service, including its software, models of operation, documentation, and trademarks. Except for the limited right to use the Service under these Terms, no rights are granted. Feedback you provide may be used without restriction.
10. Confidentiality
Each party may access the other’s non-public information (“Confidential Information”). The receiving party will protect it with reasonable care and use it only to perform under these Terms, excluding information that is public, independently developed, or rightfully received without confidentiality obligations.
11. Warranties & disclaimers
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI outputs may be inaccurate; you are responsible for reviewing and validating outputs before relying on them.
12. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data. Our aggregate liability arising out of these Terms will not exceed the fees you paid in the [12] months before the event giving rise to the claim.
13. Indemnification
You will defend and indemnify us against third-party claims arising from your Customer Data, your use of the Service in violation of these Terms, or your violation of law or third-party rights.
14. Term & termination
These Terms apply while you use the Service. Either party may terminate for material breach not cured within 30 days of notice. On termination, your right to use the Service ends and we may delete Customer Data after a reasonable period. Sections that by their nature should survive will survive.
15. Governing law & disputes
These Terms are governed by the laws of [State / Country], without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts located in [Venue], unless otherwise required by law.
